Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the NoteBot cloud platform (“Service”) operated by NoteBot (“we”, “us”, “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Account Terms

You must provide a valid email address to create an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must be at least 18 years old or the age of legal majority in your jurisdiction to use this Service.

One person or legal entity may not maintain more than one free account. You may not use the Service for any illegal or unauthorized purpose.

2. Acceptable Use

You agree not to:

  • Use the Service to violate any applicable law or regulation.
  • Upload, record, or process content that you do not have the right to capture or distribute.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated means to access the Service except through our published APIs.
  • Resell, sublicense, or redistribute the Service without prior written consent.

You are solely responsible for ensuring you have appropriate consent from all parties before recording any meeting or conversation using the Service.

3. Data Processing

Meeting recordings, transcripts, and generated briefs uploaded to the cloud are stored in our Supabase infrastructure located in the ap-southeast-2 (Sydney) region. We process your data solely to provide the Service, including transcription, summarisation, and search functionality.

You retain all ownership rights in your content. By uploading content to the Service, you grant us a limited licence to store, process, and display that content solely for the purpose of operating the Service on your behalf.

4. Intellectual Property

The Service, including its design, code, interface, and NoteBot branding, is owned by us and protected by copyright and intellectual property laws. Nothing in these Terms transfers any IP rights to you except the limited right to use the Service as described here.

Your content remains yours. We claim no intellectual property rights over the material you upload or generate through the Service.

5. Payment and Billing

Paid plans are billed monthly or annually as selected at checkout. All fees are non-refundable except as required by applicable law. If your payment fails, we may downgrade your account to the free plan after a 7-day grace period.

We reserve the right to change pricing with 30 days written notice. Price changes will not apply to your current billing period.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided “as is” without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any transcription or AI-generated content will be accurate.

In no event shall our total liability to you exceed the amount you paid us in the 12 months preceding the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages.

7. Cancellation and Termination

You may cancel your account at any time from the Settings page. Upon cancellation, your account enters a 14-day grace period during which you can reverse the decision. After the grace period, your data will be permanently deleted.

We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation.

8. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of New South Wales.
